Baltimore Chinese School Board of Directors Needs Two Directors by Election
Baltimore Chinese School (BCS) Board of Directors (Board) needs two directors to the Board starting the 2017-2018 school year. The directors will be elected through a nomination and general election process by the BCS Community. Any BCS Community member can self-nominate or nominate someone else. Anyone with two or more nominations will be contacted by the Board to confirm willingness to serve. A brief CV, both in Chinese and English, should be submitted. Nominees with two or more nominations who are willing to serve will be listed on the ballot. BCS Community members who are 18 years or older are eligible to vote. The nomination process will be closed on Sunday, April 23, 2017 at 3:00pm, and the voting will be held on Sunday, May 7, 2017 1:00 to 3:30pm at BCS. Included are the BYLAWS OF BALTIMORE CHINESE SCHOOL, which describe the responsibilities of the Directors of the Board. Please note that all directors of the Board are volunteers without compensation from BCS, which means that directors of the Board cannot be current BCS employees.

BYLAWS OF BALTIMORE CHINESE SCHOOL
ARTICLE 2 BOARD OF DIRECTORS
The Board represents the organization and holds the ultimate power in governing the school. The corporate power, the control of the business, and properties of BCS shall be vested by the Board as described by these Bylaws.
The Board appoints principal and approves PTA chair who is selected by PTA members, approves EC members who are appointed by the Principal.
SECTION 2.1 COMPOSITION OF BOARD
The number of directors on the Board shall be no less than three (3) and no more than seven (7). The Board shall also include the school Principal and the Chair of the PTA as Board members. Both Board directors and members have voting power.
The Board shall have a Chair and a Vice Chair, and may have a Secretary, who are elected by majority vote of the Board, the school Principal and the Chair of the PTA are not eligible for the Board Chair, Vice Chair, or Secretary position.
SECTION 2.2 QUALIFICATIONS
The Board Directors shall be at or over age of 18, and are legal residents and shall be willing to work for the school as volunteers without compensation from the school.
SECTION 2.3 POWERS
Subject to the provisions of the laws of this State and any limitations in the Articles of Incorporation and these Bylaws relating to actions required or permitted, the activities and affairs of this corporation shall be conducted and all corporate powers shall be exercised by or under the direction of the Board.
SECTION 2.4 DUTIES
Duties of the directors and members are: to perform duties imposed on them collectively or individually by state laws, Articles of Incorporation, and the Bylaws; to be responsible for the overall policy and direction of the BCS and to delegate responsibilities for the day-to-day operations of the BCS to EC (Executive Committee); to appoint and remove, employ and discharge, and, except as otherwise provided in these Bylaws, prescribe the duties and fix the compensation, if any, of all officers, agents and employees of the corporation; to supervise all officers, agents and employees of the corporation to assure that their duties are performed properly; to meet at such times and places as required by these Bylaws; to register their addresses with the Secretary of the corporation, and notices of meetings mailed or telegraphed to them at such addresses, to review financial reports and records, and approve the financial budget of the corporation; to conduct fund raising; and direct and conduct public relation affairs of BCS.
SECTION 2.5 TERM OF DIRECTORS
Each regular director shall hold office for a renewable term of two years and may be renewed twice thereafter if consecutively re-elected. A director of the Board shall hold office from July 1 following the election to June 30 of the year after next.
